By accessing or using the PriorValue platform, you agree to be bound by these Terms of Use and any additional terms referenced herein. If you do not agree to these terms, you must not access or use the platform. These terms apply to all users, including healthcare professionals, administrators, and any other individuals or entities accessing the platform.

2. Use of Service

PriorValue provides clinical intelligence and decision-support software intended for use by qualified healthcare professionals. You agree to use the platform solely for its intended clinical and administrative purposes and in compliance with all applicable laws and regulations. You must not use the platform for any unlawful purpose or in any manner that could compromise patient safety or data integrity.

3. User Accounts

Access to the platform requires a registered account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify PriorValue immediately of any unauthorised access or security breach. PriorValue reserves the right to suspend or terminate accounts that violate these terms or that pose a risk to platform integrity or patient safety.

4. Intellectual Property

The PriorValue platform, including its software, algorithms, user interface, documentation, and associated materials, is protected by intellectual property laws. PriorValue retains all rights, title, and interest in and to the platform. You may not copy, modify, distribute, reverse-engineer, or create derivative works based on the platform without express written consent.

5. Disclaimers

PriorValue is clinical decision-support software. It does not replace independent clinical judgment and does not independently diagnose patients or prescribe treatment. All clinical decisions remain the sole responsibility of the treating provider. The platform is provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law.

6. Limitation of Liability

To the maximum extent permitted by applicable law, PriorValue shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform. This includes, without limitation, any clinical decisions made in reliance on platform output. PriorValue's total liability shall not exceed the fees paid by you for the platform during the twelve-month period preceding the claim.

7. Changes to Terms

PriorValue reserves the right to modify these Terms of Use at any time. Material changes will be communicated through the platform or by other reasonable means. Continued use of the platform following the posting of changes constitutes acceptance of the modified terms. It is your responsibility to review these terms periodically.
